1. ACCEPTANCE OF TERMS

By accessing or placing an order through any PetroCore Supply Solutions, LLC ("PetroCore," "we," "our," or "us") sales channel — including our website, storefront, email, phone, or procurement portal — you ("Customer," "Buyer," or "you") agree to be bound by these Terms of Service ("Terms"). If you are placing an order on behalf of a company, government agency, educational institution, or other organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not place an order or use our services.

2. ABOUT PETROCORE SUPPLY SOLUTIONS

PetroCore Supply Solutions, LLC is a Maryland-based, SBA-certified small business and authorized reseller of information technology hardware, software, networking, security, peripherals, audio/visual, supplies, and related services operating domestically and internationally. We source products through an authorized distributor network that includes:

  • Ingram Micro — global technology distributor
  • TD Synnex — global technology distributor and solutions aggregator
  • D&H Distributing — technology and consumer electronics distributor
  • Carahsoft Technology — government IT solutions provider and distributor
  • Arrow Electronics — global electronic components and IT solutions distributor
  • Additional authorized specialty distributors and channel partners as applicable to specific product lines, geographies, and contract vehicles

3. ELIGIBILITY

Our storefront and services are available to:

  • U.S.-based businesses, government agencies, educational institutions, and non-profit organizations
  • Individual buyers 18 years of age or older
  • International buyers in approved regions — see Section 11 for international eligibility and terms

PetroCore reserves the right to refuse service, cancel orders, or terminate accounts at our discretion, including for orders that appear fraudulent, involve export-controlled products without proper authorization, or violate these Terms.

4. PRODUCTS AND AVAILABILITY

4.1 Product Listings

PetroCore offers products sourced through our full distributor network spanning hundreds of manufacturers and thousands of SKUs across IT hardware, software, networking, security, peripherals, AV/collaboration, supplies, and accessories. Product descriptions, specifications, and images are sourced from our distributor and manufacturer partners and provided for informational purposes. PetroCore does not warrant that listings are error-free at all times.

4.2 Availability

All orders are subject to product availability at time of fulfillment. If a product becomes unavailable after your order is placed, PetroCore will notify you promptly and offer a substitute, backorder option, or full refund.

4.3 Export and Regulatory Compliance

Many products in our catalog — including networking equipment, security appliances, semiconductors, and certain hardware — are subject to U.S. export control laws including the Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR), and OFAC sanctions programs. By placing an order, you represent that you will not export, re-export, or transfer any product to a prohibited country, entity, or individual without all required U.S. government authorizations. PetroCore screens all orders against applicable denied party lists and will not process orders that violate U.S. export laws.

4.4 TAA Compliance

Certain government orders require products compliant with the Trade Agreements Act (TAA). It is the buyer's responsibility to verify TAA compliance requirements for their procurement. PetroCore will indicate TAA-compliant products where known but does not guarantee TAA status for all catalog items. Confirm TAA compliance with PetroCore prior to order placement for any government contract that requires it.

4.5 Government Channel Products

Certain products — particularly software, cybersecurity tools, and specialized hardware — are only available through government-authorized distribution channels such as Carahsoft Technology or Arrow Electronics' government division. Pricing, licensing terms, and return policies for these products may differ from commercial channel terms. PetroCore will advise buyers when a product is sourced through a government-specific channel.

5. PRICING

5.1 Pricing Accuracy

All prices are in U.S. dollars and are subject to change without notice. Pricing is based on current distributor cost across our network — Ingram Micro, TD Synnex, D&H, Carahsoft, Arrow, and others — plus PetroCore's applicable margin at time of quotation. A published price is not a guaranteed price until confirmed in a written quote or purchase order acknowledgment.

5.2 Quoted Pricing

Formal quotes are valid for the period stated on the quote. If no validity period is stated, quotes are valid for 5 business days. PetroCore reserves the right to revise pricing if distributor cost changes materially before fulfillment.

5.3 Taxes and Duties

PetroCore collects applicable U.S. state and local sales tax on taxable domestic orders unless a valid tax exemption certificate is on file. Government agencies and qualifying tax-exempt organizations must provide exemption documentation to billing@petrocoresupplysolutions.com before order placement. For international orders, all import duties, VAT, customs fees, and local taxes in the destination country are the sole responsibility of the buyer.

5.4 Pricing Errors

In the event of a pricing error on our storefront or in a quote, PetroCore reserves the right to cancel the order and notify the buyer. We will not be held to an incorrect price that is clearly the result of a typographical or system error.

6. ORDERS AND PAYMENT

6.1 Order Placement

Orders may be placed through our online storefront, by email to orders@petrocoresupplysolutions.com, or by purchase order submission for approved accounts. An order is not accepted until PetroCore issues a written order confirmation or acknowledgment. International orders must be initiated by direct contact with PetroCore and are not available for self-checkout.

6.2 Payment Terms

  • Online storefront (domestic): Payment due at checkout via credit card or ACH
  • International orders: Payment due in full by wire transfer in U.S. dollars prior to shipment; wire transfer fees are the buyer's responsibility
  • Government purchase orders: Net 30 from invoice date for approved agencies with valid POs referencing an active contract vehicle
  • Approved commercial accounts: Payment terms established at account setup; default is Net 15 unless agreed otherwise in writing
  • Overdue invoices: Subject to a late fee of 1.5% per month on the outstanding balance

6.3 Purchase Orders

Government and institutional buyers may submit purchase orders. All POs must include: buyer's legal entity name, billing and shipping address, line-item product descriptions with manufacturer part numbers, quantities, agreed unit pricing, and an authorized signature or electronic authorization. Incomplete POs will be returned for correction before processing.

6.4 Fraud Prevention

PetroCore reserves the right to verify buyer identity, confirm purchase orders with issuing agencies, and refuse orders that show signs of fraud or business email compromise. PetroCore will never change payment instructions or banking information via email without prior verbal confirmation with an authorized contact at 301-520-1913. If you receive a communication purporting to be from PetroCore requesting a change in payment details, contact us immediately before taking any action.

7. SHIPPING AND DELIVERY

7.1 Domestic Shipping Terms

All domestic U.S. orders ship FOB Destination. Freight is absorbed by PetroCore and included in unit pricing — there are no separate freight line items on domestic orders. Estimated delivery timeframes are provided at time of order and are not guaranteed. PetroCore is not liable for carrier delays outside of our control.

7.2 International Shipping Terms

International orders ship on mutually agreed freight terms confirmed in writing at time of order. Buyers are responsible for all import duties, customs clearance, VAT, and local taxes. PetroCore will provide commercial invoice and packing list documentation. For countries requiring an import license, the buyer must provide all necessary import authorizations before shipment.

7.3 Shipping Damage

Risk of loss transfers to the buyer upon delivery to the carrier for domestic orders and upon departure from PetroCore's designated shipping point for international orders. Shipping damage claims must follow the procedures outlined in our Return & Refund Policy.

8. RETURNS AND REFUNDS

All returns and refunds are governed by PetroCore's Return & Refund Policy, incorporated into these Terms by reference. Key terms: 30-day domestic return window, RMA required for all returns, software and activated licenses are non-refundable, international returns are credit-only. 9. WARRANTIES AND DISCLAIMERS

9.1 Manufacturer Warranties

Products sold by PetroCore are covered by the applicable manufacturer's limited warranty. PetroCore does not provide its own product warranty beyond manufacturer terms. Manufacturer warranties may not extend to products exported outside the United States. International buyers should confirm warranty coverage in their region before purchase.

9.2 Disclaimer of Additional Warranties

To the fullest extent permitted by law, PetroCore makes no additional representations or warranties — express or implied — regarding the products we sell, including warranties of merchantability, fitness for a particular purpose, or non-infringement. All such warranties are hereby disclaimed.

9.3 Information Accuracy

Product descriptions, compatibility information, and specifications are provided in good faith based on information from our distributor and manufacturer partners. Buyers are responsible for verifying that products meet their specific technical and regulatory requirements before purchase.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, PetroCore's total liability to any buyer for any claim arising out of or related to a purchase shall not exceed the total amount paid by the buyer for the specific product or order giving rise to the claim. PetroCore shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, regardless of the theory of liability. Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.

11. INTERNATIONAL BUYERS

11.1 Eligible Regions

PetroCore accepts international orders from buyers in U.S. allied nations and approved markets including but not limited to: Canada, United Kingdom, European Union member states, United Arab Emirates, Nigeria, Ghana, Kenya, Côte d'Ivoire, South Africa, and other markets approved by PetroCore on a case-by-case basis. All international orders require direct engagement with PetroCore prior to placement.

11.2 Export Compliance

All international transactions are subject to U.S. export control laws. PetroCore will not ship to OFAC-sanctioned countries, entities on the U.S. Denied Persons List, or other restricted parties. Buyers are solely responsible for compliance with all import laws, regulations, and licensing requirements in the destination country.

11.3 Payment

International orders require payment in full by wire transfer in U.S. dollars prior to shipment. Wire transfer fees, correspondent bank fees, and currency conversion costs are the buyer's responsibility. PetroCore does not accept international credit cards, PayPal, or cryptocurrency for international transactions.

11.4 Duties and Taxes

All import duties, VAT, customs fees, and local taxes in the destination country are the sole responsibility of the buyer. PetroCore pricing does not include international duties or taxes. Refused or abandoned international shipments due to customs issues are not eligible for refund.

11.5 Governing Law for International Transactions

International transactions are governed by the laws of the State of Maryland, USA. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is hereby expressly excluded. Disputes arising from international transactions shall be resolved by binding arbitration in Prince George's County, Maryland, USA.

12. INTELLECTUAL PROPERTY

All trademarks, product names, logos, and brand identifiers referenced in our catalog belong to their respective owners. PetroCore's use of manufacturer and distributor names is for descriptive purposes only and does not imply endorsement beyond our authorized reseller status. The PetroCore name, logo, and brand materials are the exclusive property of PetroCore Supply Solutions, LLC.

13. PRIVACY

PetroCore collects business contact information, order details, and payment information necessary to process orders and manage our business relationship. We do not sell, rent, or share your information with third parties except as required to fulfill your order or as required by law. For international buyers, data may be transferred to and processed in the United States. By placing an order, international buyers consent to this transfer. 14. ETHICS AND COMPLIANCE

PetroCore maintains a zero-tolerance policy for bribery, kickbacks, conflicts of interest, and any conduct that violates the Federal Acquisition Regulation (FAR), applicable state procurement laws, international anti-corruption laws including the Foreign Corrupt Practices Act (FCPA), or PetroCore's internal code of conduct. 15. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of Maryland, USA, without regard to conflict of law principles. Any dispute that cannot be resolved informally shall be submitted to binding arbitration in Prince George's County, Maryland, under the rules of the American Arbitration Association. Either party may seek injunctive relief in a court of competent jurisdiction. For government contracts, disputes are governed by the applicable contract's disputes clause. For international transactions, see Section 11.5.

16. FORCE MAJEURE

PetroCore shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, acts of government, export control changes, supply chain disruptions, carrier failures, port closures, cyberattacks, pandemics, or other events outside our control. PetroCore will notify affected buyers as promptly as possible and work to minimize disruption.

17. MODIFICATIONS

PetroCore reserves the right to update these Terms at any time. The version in effect at the time of your purchase governs that transaction. Updated Terms will be posted on our storefront with a revised effective date. Continued use of our storefront or services after an update constitutes acceptance of the revised Terms.

18. ENTIRE AGREEMENT

These Terms, together with any written quote, purchase order acknowledgment, and our Return & Refund Policy, constitute the entire agreement between PetroCore and the buyer and supersede all prior communications, representations, or agreements. In the event of a conflict between these Terms and the terms of a government contract vehicle, the government contract terms govern.
